NuWays operates exclusively as a Business-to-Business (B2B) enterprise infrastructure provider. Our website serves as a corporate informational portal and lead-generation platform. No binding commercial transactions are executed directly through this website. All procurements, service level agreements (SLAs), and leasing contracts are subject to formal, offline execution of a Master Service Agreement (MSA) or formal Purchase Order (PO).

2. Proposals, Quotations, and Marketing Claims

Any claims regarding cost savings, infrastructure efficiency, return on investment (ROI), or response times displayed on this website are for marketing and illustrative purposes only. They do not constitute binding guarantees.

Any quotations, enterprise proposals, or infrastructure assessments requested via our digital forms are estimates subject to physical site surveys, hardware availability, and management approval. Formal pricing is only valid when issued on official NuWays letterhead and signed by an authorized signatory.

3. Third-Party OEMs, Trademarks, and Warranties

NuWays acts as an authorized partner, reseller, and systems integrator for various Original Equipment Manufacturers (OEMs), including but not limited to SHARP, Canon, HP, and Brother.

• Trademarks: All third-party logos, trademarks, and brand names displayed on this website remain the property of their respective owners. Their inclusion does not imply exclusive ownership or affiliation beyond standard authorized partnership status.
• Warranties: Hardware warranties and baseline technical support for outright purchases are provided directly by the respective OEM under their standard warranty terms. NuWays assumes liability only for services explicitly defined under a signed comprehensive Annual Maintenance Contract (AMC) or Managed Print Services (MPS) agreement.

4. Indemnification

You agree to defend, indemnify, and hold harmless NuWays Creation Pvt. Ltd., its directors, employees, and authorized affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the website; (b) your violation of any term of these Terms; or (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right.

5. Force Majeure

NuWays shall not be held liable or responsible for any failure or delay in the performance of its obligations under any proposed SLAs or website accessibility if such failure or delay is caused by events beyond our reasonable control. Such events include, but are not limited to, acts of God, natural disasters, pandemics, government restrictions, strikes, lockouts, supply chain disruptions by OEMs, or catastrophic network failures.

6. Government Procurement and e-Marketplace (GeM)

For government and Public Sector Undertaking (PSU) clients, any transactions facilitated through the Government e-Marketplace (GeM) portal are subject to the inherent terms and conditions of the GeM platform. In the event of a conflict between these website Terms and GeM policies, the GeM policies shall prevail for those specific transactions.

7. Limitation of Liability

To the maximum extent permitted by applicable law, NuWays shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data loss, network downtime, or business interruption, arising out of or related to your use of this website or reliance on its content.

Under no circumstances shall NuWays' total liability for any claim related to website usage exceed the amount of Zero Indian Rupees (INR 0), as the website is provided as a free informational service. Liability for commercial services is strictly limited to the terms defined in the executed MSA.

8. Intellectual Property Rights

All proprietary content on this website, including but not limited to text, graphics, UI design, architectural diagrams, and case studies, is the exclusive intellectual property of NuWays Creation Pvt. Ltd. Unauthorized reproduction, scraping, or commercial distribution of this content is strictly prohibited and will be prosecuted under the Copyright Act, 1957.

9. Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and such provisions shall be deleted without affecting the remaining provisions herein.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes arising out of or in connection with these Terms or website usage shall be subject to the exclusive jurisdiction of the competent courts located in New Delhi, Delhi, India.
